These Terms of Use (“Terms”) constitute a binding agreement between you (“you” or “User”) and VEST First Responder LLC (“VEST,” “we,” “our,” or “us”). By accessing or using our websites, online courses, on‑site training, or any related services (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Changes to Terms

We may update these Terms from time to time. When we do, we will post the revised version and update the “Last updated” date above. Your continued use of the Services after any changes indicates acceptance of the updated Terms.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.

4. Account Registration

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Payment & Refunds

If you purchase a course or other paid Service, you agree to pay the listed price plus any applicable taxes. Payments are processed by third‑party providers (e.g., Stripe) subject to their terms. Unless otherwise stated, all sales are final and non‑refundable.

6. Intellectual Property

The Services and all content therein—including text, graphics, training materials, videos, logos, and trademarks—are owned by VEST or its licensors and are protected by U.S. intellectual‑property laws. Except as expressly authorized, you may not copy, modify, distribute, or create derivative works from any part of the Services.

7. Prohibited Conduct

• Use the Services for any unlawful purpose;
• Attempt to gain unauthorized access to other accounts or systems;
• Upload or transmit viruses or malicious code;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse‑engineer or decompile any portion of the Services;
• Misrepresent your affiliation with VEST.

8. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, VEST disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Services will meet your requirements or be uninterrupted, timely, secure, or error‑free.

9. Limitation of Liability

To the fullest extent permitted by law, VEST shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless VEST and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or in any way connected with your use of the Services or violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict‑of‑laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to the personal jurisdiction of such courts.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to VEST or other users.
